14chats — Subscription Terms
Terms governing paid use of the 14chats platform at app.14chats.com
These Subscription Terms (the "Terms") form a binding agreement between [14chats legal entity / sole trader name] ("14chats", "we", "us") and the agency or organisation that subscribes to the Platform ("Customer", "you"). By subscribing to a paid plan or using the Platform under a paid plan, you agree to these Terms.
These Terms govern paid use of the Platform. They are separate from the legal notice published on our marketing website (14chats.com) and, where a pilot is in place, from the pilot agreement, which continues to govern the pilot period.
1. Definitions
1.1. Platform — the 14chats software provided on a SaaS basis at app.14chats.com and any related mobile application, bringing roster, availability, options, bookings, fees, team communication and the model calendar into one shared operating space.
1.2. Agency, Booker, Model — respectively, a subscribing model agency, an authorised member of its team, and a model whose profile and calendar are managed on the Platform.
1.3. Roster, Availability, Option, Booking — respectively, the Customer's list of models on the Platform; a model's available/booked/optioned status on given dates; a provisional hold on a date with a stated priority; and a confirmed engagement.
1.4. Subscription — a paid plan (for example Starter, Pro, Agency or Enterprise) selected by the Customer, together with any add-ons and usage.
1.5. Customer Data — any data the Customer or its users enter into, or generate through, the Platform, including roster, client records, rates, options, bookings, fees, messages and internal notes.
1.6. Paddle — Paddle.com Market Limited and its affiliates, our reseller and Merchant of Record, as further described in section 4.
2. Accounts and authorised users
2.1. To use the Platform you must register an account and provide accurate information. You are responsible for keeping your account and login credentials secure.
2.2. Access to the Platform is limited to authorised agencies, bookers and models. You must not share access links or credentials with anyone who is not authorised to use the relevant workspace or model calendar.
2.3. You are responsible for all activity that occurs under your account and for your users' compliance with these Terms.
3. Subscriptions and plans
3.1. The Platform is provided on a subscription basis. The features, roster limits and included seats for each plan are those described for the plan you select at the time of purchase.
3.2. You may exceed included limits only where the Platform allows it (for example, additional seats or roster capacity), and any such overage is charged in addition to your plan fee.
3.3. We may add, change or discontinue features over time. We will not materially reduce the core functionality of a paid plan during a paid period without notice.
4. Payments, billing and Merchant of Record
4.1. Paddle as Merchant of Record. Our order process and payments are handled by Paddle, which acts as the Merchant of Record (reseller) for all purchases of the Subscription. When you purchase a Subscription, your payment contract for that purchase is with Paddle, and Paddle's buyer terms and privacy policy apply to the transaction in addition to these Terms.
4.2. Invoicing and tax. Paddle issues invoices or receipts and is responsible for collecting and remitting applicable taxes (such as VAT or sales tax) on the Subscription. Prices are shown at checkout and may be exclusive or inclusive of tax as indicated there.
4.3. Card data. Payment card details are collected and processed by Paddle. We do not receive or store your full payment card information.
4.4. Billing cycle and renewal. Subscriptions are billed in advance on a recurring basis (monthly or annually, as selected) and renew automatically for successive periods until cancelled in accordance with section 5. Annual plans may be offered at a discount to the equivalent monthly price.
4.5. Price changes. We may change Subscription prices. Any change applies from the next renewal after we give you reasonable notice (at least [30] days) by email or in the Platform. If you do not accept a price change, you may cancel before it takes effect.
4.6. Failed payments. If a payment fails or is not collected, we or Paddle may retry payment and, after reasonable notice, suspend or downgrade your access until amounts due are paid.
5. Cancellation and refunds
5.1. You may cancel your Subscription at any time. Cancellation takes effect at the end of the current billing period, and you retain access until then. We do not automatically charge you after cancellation.
5.2. Refunds, where applicable, are processed by Paddle in accordance with these Terms and Paddle's buyer terms. Except where required by applicable consumer law, Subscription fees already charged for a billing period are non-refundable once that period has begun.
5.3. Nothing in these Terms limits any non-waivable statutory rights you may have as a consumer or small business under applicable law.
6. Use of the Platform
6.1. You may use the Platform only for its intended purpose — managing your agency's roster, availability, options, bookings, fees, team and related workflows — and in compliance with applicable law.
6.2. You must not: (a) attempt to access data belonging to other agencies or users; (b) circumvent technical limits or security measures; (c) reverse engineer, decompile or copy the Platform except as permitted by law; (d) resell or provide the Platform to third parties as your own; or (e) use the Platform to infringe others' rights or to store or transmit unlawful content.
7. Data, privacy and segregation between agencies
7.1. As between the parties, Customer Data belongs to you. We use it only to provide and improve the Platform in accordance with these Terms, our Privacy Policy and any applicable data processing agreement ("DPA").
7.2. Segregation between agencies. Your client records, rates, fees, options, bookings, messages and other internal data are kept private to your workspace and are not made available to other agencies or users of the Platform. Where a model works with more than one agency, other agencies may see only an anonymised availability layer (a date shown as available, optioned or booked) without the client, rate or content of the engagement.
7.3. Data protection roles. In respect of personal data you enter into the Platform (for example, data about models and clients), you act as controller and we act as processor, processing such data on your documented instructions. Our processing is described in our Privacy Policy and, where applicable, the DPA. The parties process personal data in accordance with applicable law, including UK GDPR and, where relevant, the EU GDPR.
7.4. Security, export and deletion. We apply reasonable technical and organisational measures to protect Customer Data. On termination you may export your Customer Data within [30] days, after which we may delete it, except for data we are required to retain by law and anonymised aggregated data.
8. Intellectual property and feedback
8.1. The Platform, including its software, design and trade marks, is owned by 14chats. We grant you a limited, non-exclusive, non-transferable right to use the Platform during your Subscription. No other rights are granted.
8.2. If you send us feedback, ideas or suggestions, we may use them freely to develop the Platform, without restriction and without any obligation to you.
9. Service availability and support
9.1. We aim to keep the Platform available and to provide reasonable support, but we do not guarantee that the Platform will be uninterrupted or error-free.
9.2. We may carry out maintenance and may modify or update the Platform from time to time. Where we offer a specific service level (SLA) for a plan, it will be stated separately and forms part of these Terms for that plan.
10. Disclaimer
10.1. Except as expressly stated in these Terms, and to the maximum extent permitted by law, the Platform is provided "as is" and "as available", and we exclude all implied warranties, including fitness for a particular purpose.
11. Limitation of liability
11.1. To the maximum extent permitted by law, our total aggregate liability arising out of or in connection with these Terms is limited to the Subscription fees paid by you for the Platform in the twelve (12) months before the event giving rise to the liability.
11.2. Neither party is liable for indirect, incidental, special or consequential loss, or for loss of profit, business, goodwill or data, except where such exclusion is not permitted by law.
11.3. Nothing in these Terms limits liability that cannot be limited by law, including liability for death or personal injury caused by negligence, for fraud, or for breach of obligations relating to confidentiality or personal data.
12. Suspension and termination
12.1. We may suspend or terminate your access if you materially breach these Terms (including non-payment) or use the Platform in a way that risks harm to the Platform or other users, giving notice where reasonably practicable.
12.2. Either party may terminate a Subscription in accordance with section 5. On termination, your right to use the Platform ends, and the provisions on data (section 7), intellectual property (section 8), liability (section 11) and governing law (section 14) survive.
13. Changes to these Terms
13.1. We may update these Terms from time to time. If a change is material, we will give reasonable notice by email or in the Platform. Your continued use of the Platform after a change takes effect constitutes acceptance of the updated Terms.
14. Governing law and disputes
14.1. These Terms are governed by the laws of [England and Wales]. The courts of [England and Wales] have jurisdiction over any dispute, subject to any non-waivable rights you have to bring proceedings in your country of residence.
15. Contact
15.1. Questions about these Terms can be sent to [support/legal email]. Details of the Merchant of Record and payment queries are available via Paddle at the checkout and on your receipt.
